Corporate Paralegal/Legal Assistant Job Description:
The Corporate Paralegal/Legal Assistant must possess excellent writing skills. The Corporate Paralegal/Legal Assistant will be responsible for creating and maintaining a corporate forms library utilizing HotDocs. HotDocs, or other document automation system experience, will be helpful but not required.
The Corporate Paralegal/Legal Assistant will prepare and file documents relating to the formation, dissolution and qualification of entities. Also, the Paralegal/Legal Assistant is expected to prepare and maintain corporate documents, including minutes, resolutions, annual reports, stock certificates and ledgers, and federal and state forms.
The Corporate Paralegal/Legal Assistant is skilled to prepare and file applications for exemption from taxation for non-profit corporations. Also, the Paralegal/Legal Assistant prepares various corporate agreements, including but not limited to employment, compensation, buy-sell, stock purchase, and withdrawal/stock redemption.
The Corporate Paralegal/Legal Assistant will conduct corporate name and UCC searches. Also, the Paralegal/Legal Assistant will register trade names.
Additional accountabilities of the Corporate Paralegal/Legal Assistant include preparation and recording of deeds and certificates of fictitious names. The Paralegal/Legal Assistant will also obtain Certificates of Good Standing, certified documents, and tax clearance certificates.
This complex position requires a candidate who possesses thorough knowledge of the functions of various government agencies/departments dealing with corporate matters, including but not limited to the Arizona Corporation Commission, secretaries of state, county recorders, state taxing authorities, and IRS.
Bachelors degree required. A Paralegal certificate, or CLA/CP designation is preferred, but not required.
